An Occupant Pass is only needed by a passenger who does not have a smartphone. 

For example, a child who commutes with you regularly on DFW TEXpress Lanes may carry an Occupant Pass in a pocket or bag each time they enter or exit the vehicle. 

Note: At least one person in the vehicle must have the GoCarma app on their phone.
